IDA Social Media Promoters ("we," "us," or "our") provides digital marketing solutions to clients worldwide. These Terms outline the rules and guidelines for using our services, including payment terms, contract obligations, and other essential provisions.
We offer a range of digital marketing services, including but not limited to:
a. Advance Payment: All services require a 100% advance payment before commencement. This advance payment is non-refundable except as outlined in the termination clause.
b. Payment Methods: We accept payments via bank transfer, credit/debit cards, and other agreed-upon methods. Payment details will be provided upon agreement of services.
c. Currency: Payments are to be made in Indian Rupees (INR) unless otherwise specified.
a. Standard Contract Term: Our services are offered under a 3-month work contract. This term begins on the date of payment and continues for three months unless terminated earlier as per the terms below.
b. Early Termination: Either party may terminate the contract by providing written notice at least one month in advance if either party wishes to discontinue the services. If you choose to terminate the contract early, any remaining amount paid for the unused period will be non-refundable.
c. Breach of Contract: If the contract is breached or work is halted by either party, an explanation for the breach must be provided, and the issue must be resolved within one month of notification. Failure to do so may result in penalties or legal action.
a. Providing Information: Clients are responsible for providing accurate, up-to-date information necessary for us to perform our services. This includes access to social media accounts, website analytics, and any relevant marketing materials.
b. Approvals and Feedback: Clients must provide timely approvals and feedback on proposed strategies, designs, and content to ensure smooth execution of services.
a. Ownership: All intellectual property created by IDA Social Media Promoters during the contract term, including content, designs, and strategies, shall remain the property of IDA Social Media Promoters until full payment is received.
b. Usage Rights: Upon receiving full payment, clients will have a perpetual, non-exclusive right to use the intellectual property created for them. However, IDA Social Media Promoters reserves the right to use such content for promotional purposes unless explicitly restricted by the client.
a. Confidential Information: Both parties agree to maintain the confidentiality of any proprietary or sensitive information exchanged during the course of the contract. Such information shall not be disclosed to third parties without prior written consent from the disclosing party.
IDA Social Media Promoters shall not be liable for any indirect, incidental, or consequential damages arising from the use or inability to use our services. Our total liability shall not exceed the amount paid for the services in question.
We make no guarantees of specific results or improvements from our services. Success depends on numerous factors beyond our control, including market conditions, client input, and third-party platform changes.
We reserve the right to update these Terms at any time without prior notice. Any changes will be posted on our website, and continued use of our services constitutes acceptance of the revised Terms.
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Kannur, Kerala.
